Terms & Conditions
1. Who we are
These terms apply to the Grow & Scale AI Program (the "Program"), provided by Grow & Scale BV, registered with the Dutch Chamber of Commerce (KvK) under number 85043583, VAT number NL863484840B01, Laantje van Rigter 2, 1261 WB Blaricum, the Netherlands ("Grow & Scale", "we"). Contact: info@growandscale.nl.
2. Business customers only
The Program is offered exclusively to businesses and professionals acting in the course of their trade or profession ("Client"). By purchasing, you confirm that you are buying on behalf of a business. Consumer-protection rules for distance sales, including the 14-day right of withdrawal, therefore do not apply.
3. The Program
The Program consists of: (a) the done-for-you delivery of AI skills (workflows) for creating static ads, video ads and landing pages, tailored to the Client's brand, products and tone of voice; and (b) 12 coaching sessions over 3 months for the Client's owners and in-house team (any number of team members may join) to run these skills independently. Grow & Scale does not create, run or manage the Client's ads or landing pages; the Client's team does, using the delivered skills. The agreement starts on the date of your first payment and runs for 3 months.
4. Price and payment
All prices are in euros and exclude VAT. VAT is added where applicable; for EU businesses with a valid VAT number outside the Netherlands, VAT is reverse-charged.
- Pay in full: €15,000 excl. VAT, payable at checkout.
- Payment plan: 3 monthly payments of €6,000 excl. VAT (€18,000 excl. VAT in total). The first payment is made at checkout by card or iDEAL; payments 2 and 3 are collected automatically one and two months later, from the same card or, if you paid by iDEAL, by SEPA Direct Debit from the same bank account.
Payment plan authorisation. By choosing the payment plan, you authorise Grow & Scale (through its payment processor Stripe) to collect €6,000 plus applicable VAT once per month for three consecutive months, by charging your card or, if you pay the first instalment by iDEAL, by SEPA Direct Debit under the mandate you confirm in your banking app at checkout. The payment plan is a commitment to the full amount of €18,000 excl. VAT; it is not a monthly subscription that can be cancelled. You remain liable for the full amount even if you stop using the Program.
5. Failed and late payments
If a scheduled payment fails, our payment processor will retry it and email you a link to update your payment details. While a payment is overdue, we may suspend your access to the Program until it is paid. If a payment remains unpaid for 14 days after the due date, the full remaining balance becomes immediately due, and we may charge statutory commercial interest and reasonable collection costs.
6. No refunds
At the start of the Program you receive immediate access to our proprietary methods, workflows, skills and information, which cannot be returned once shared. All payments are therefore non-refundable, in full or in part, including when you choose the payment plan and including when you stop using the Program early.
Output guarantee. If, in the fourth week after we have delivered your AI skills, your team does not produce at least 100 ads with them, we will provide additional coaching sessions at no extra cost until your team reaches that output, for a maximum of 3 additional months. This guarantee applies only if (a) you and the relevant team members attended the scheduled coaching sessions; (b) your team used the skills as instructed during that period; (c) you provided the brand assets, product images and information we requested on time; (d) your payments are up to date; and (e) you notify us in writing at info@growandscale.nl within 14 days after that fourth week ends. The guarantee concerns output only, not ad performance, revenue or other business results, and it never entitles you to a refund.
7. Disputes and chargebacks
If you have a problem with a charge or with the Program, contact us first at info@growandscale.nl; we will respond within 2 business days. Filing a chargeback or payment dispute, or requesting your bank to reverse an authorised SEPA Direct Debit, without contacting us first is a breach of these terms; in that case the full remaining balance of the Program becomes immediately due. We will contest unfounded disputes with our records, including these accepted terms, call recordings, onboarding records and access logs, and may recover any amounts and fees from you.
8. Your responsibilities and results
Results depend on your own implementation, offer, ad spend and market. We do not guarantee specific revenue, return on ad spend or other outcomes. You are responsible for your ad accounts and for complying with the advertising policies of Meta, TikTok and other platforms.
9. Intellectual property
All materials, workflows, templates and recordings provided in the Program remain the property of Grow & Scale. You receive a perpetual, non-transferable licence to use them within your own business, including the AI skills (workflows) delivered to you, which you may keep using after the Program has ended. Your only ongoing costs are then the usage costs of the AI tools you use to run them. You may not resell, share or publish them.
10. Recordings
Calls and sessions may be recorded for quality, training and record-keeping purposes. Recordings are handled in line with our privacy policy.
11. Liability
Our total liability under this agreement is limited to the amount you have paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, including lost revenue, lost profit or ad spend.
12. Governing law
These terms are governed by Dutch law. Disputes are submitted exclusively to the competent court of the District Court Midden-Nederland (Rechtbank Midden-Nederland), the Netherlands.
